END USER LICENCE AGREEMENT AND OPEN SOURCE SOFTWARE INFORMATION

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE USING 
THE COROB SOFTWARE. 

By using the COROB software needed to run the color matching and/or color 
dispensing processes, you are agreeing to be bound by the terms of this 
license. If you do not agree to the terms of this license, do not install 
and/or use the COROB software and, if presented with the option to "agree" or 
"disagree" to the terms, click "disagree".


1. General

A. The COROB Software (hereinafter "Software"), any third party software, 
documentation, interfaces, content, extensions and any data accompanying this
License whether on disk, in read only memory, on any other media or in any 
other form are licensed to you by COROB S.p.A., Via dell’Agricoltura 103, 
41038 San Felice s/P (MO), Italy and/or its affiliated companies ("Licensor") 
for use only under the terms of this License. 

B. The Licensor retains ownership of the Software itself and reserve all 
rights not expressly granted to you. The terms of this License will govern any 
software upgrades provided by the Licensor that replace and/or supplement the 
original Software product, unless such upgrade is accompanied by a separate 
license in which case the terms of that license will govern.

C. Title and intellectual property rights in and to any content displayed by or 
accessed through the Software (such as color formulas, color cards and tinting 
system data) belong to the respective content owner. Such content may be 
protected by copyright or other intellectual property laws and treaties and may
be subject to terms of use of the third party providing such content. This 
License does not grant you any rights to use such content nor does it guarantee 
that such content will continue to be available to you.


2. Permitted License Uses and Restrictions

A. Subject to the terms and conditions of this License, this License allows you 
to install and use one copy of the Software on any compatible computer, which 
is owned, leased, or otherwise controlled by you. You may make one copy of the 
Software in machine-readable form for backup purposes only; provided that the 
backup copy must include all copyright or other proprietary notices contained
on the original. 

B. You may not and you agree not to or enable others to, copy, decompile, 
reverse engineer, disassemble, attempt to derive the source code of, decrypt, 
modify, or create derivative works of the Software or any part thereof, except 
as expressly permitted by this License under section 8.


3. Transfer

You may not rent, lease, lend, sell, redistribute or sublicense the Software, 
except as expressly permitted by this Agreement under section 8. The Licensee 
agrees not to assign, transfer, pledge, lease, rent or share the rights under 
this License Agreement provided assignment by Licensee of this Agreement is 
permitted as a part of the sale of all of Licensee's business to which this 
Agreement pertains. The Licensee may not sell the rights under this License
Agreement to a third party without the written permission from Licensor. All 
components of the Software are provided as part of a bundle and may not be 
separated from the bundle and distributed as standalone applications, except as 
expressly permitted by this Agreement under section 8.


4. Termination

This License is effective until terminated. Your rights under this License will
terminate automatically or otherwise cease to be effective without notice from
the Licensor if you fail to comply with any term(s) of this License. Upon the
termination of this License, you shall cease all use of the Software and
destroy all copies, full or partial, of the Software.


5. Disclaimer and Warranty

A. The Licensor warrants that the Software and any supports provided shall, for
a period of 90 days from the day of commencement of this License Agreement
(referred to as the warranty period), be free from defects in material and
workmanship.
 
B. During said warranty period, the Software shall operate substantially in
accordance with the functional specifications given, on condition that the
computer used to run the Software is either purchased from or approved by the
Licensor. If, during the warranty period, a defect appears in the Software,
Licensor may withdraw the Software materials for correction or replacement.

C. You expressly acknowledge and agree that, to the extent permitted by
applicable law, use of the Software is at your sole risk and that the entire
risk as to satisfactory quality, performance, accuracy and effort is with you.

D. To the maximum extent permitted by applicable law, the Software is provided
"as is" and "as available", with all faults and without warranty of any kind,
and Licensor hereby disclaim all warranties and conditions with respect to the
Software, either express, implied or statutory, including, but not limited to,
the implied warranties and/or conditions of merchantability, satisfactory
quality, fitness for a particular purpose, accuracy, quiet enjoyment, and
non-infringement of third party rights.

E. The Licensor does not warrant against interference with your enjoyment of
the Software, that the functions contained in the Software will meet your
requirements,  that the operation will be uninterrupted or  error-free, that
the Software will be compatible or work with any third party software,
applications or third party services, or that defects in the Software will be
corrected. Installation of this Software may affect the usability of third
party software, applications or third party services.


6. Limitation of Liability

To the extent not prohibited by applicable law, in no event shall the Licensor
be liable for personal injury, or any incidental, special, indirect or
consequential damages whatsoever, including, without limitation, damages for
loss of profits, corruption or loss of data or information, failure to transmit
or receive any data, business interruption or any other commercial damages or
losses, arising out of or related to your use or inability to use the Software
or any third party software or applications in conjunction with the COROB
software, however caused.


7. Severability 

Should any term of this License Agreement be declared void or unenforceable by
any court of competent jurisdiction, such a declaration shall have no effect on
the remaining terms herein. 


8. Free Software or Open Source software under the GNU Lesser General Public License, version 3

This product contains software components that are licensed by the copyright 
holders as Free Software or Open-Source software ("OSS") under the 
GNU Lesser General Public License, version 3. OSS is licensed directly by the 
rightholders of the OSS to you; see the applicable licenses for details. 
Therefore, you can copy, redistribute, decompile, reverse engineer, 
disassemble, attempt to derive the source code of, decrypt, modify, or create 
derivative works of the components of the COROB Software licensed as OSS. In 
particular, the modification of the portions of libraries under the 
GNU Lesser General Public License, version 3 contained in a combined work and
reverse engineering for debugging such modifications is permitted. Anyone who
possesses the object code can also obtain the source code for these software
components from us on a data carrier (CD-ROM, DVD or USB memory stick). This 
offer is valid within three years after the most recent conveyance of the 
object code by us and valid for as long as we offer spare parts or customer 
support for this product. Please send your request to the following email 
address Software@corob.com or via regular mail to the following address: 
Corob S.p.A., IT Department, Via Dell’Agricoltura n. 103, 
San Felice Sul Panaro (MO), Italy. Please specify the address to which you wish 
us to send the source code. Additional product information (e.g. explicit 
product name, serial number etc.) will help us to identify the corresponding 
source code for you. The source code will be sent to the given address after 
reimbursement of the effectively incurring expenses for providing the data
carrier and shipping.

It being agreed and understood that the open-source licenses prevail over all
other license conditions and contractual agreements herein with regard to the
corresponding OSS components contained in the product.  With respect solely to
the Open Source Software no warranty is provided, to the extent permitted by
the applicable law.  Modification of or tampering with the OSS is solely at
your own risk and will void the product warranty. COROB bears no responsibility
for any loss to you caused by the operation or lack of operation of the OSS and
any such modification or tampering.  COROB will not support any product in
which you have or have attempted to modify the OSS supplied by COROB.


9. Applicable Law and Venue of Dispute

This License Agreement shall be construed, interpreted and governed by the laws
of Italy. License and Licensor agree that the exclusive venue for any dispute
between them shall be the Court of Modena, Italy. If there is a separate
written agreement between User and Licensor and/or its affiliated companies,
such agreement may contain provisions regarding applicable law and venue of
disputes and those will prevail to the extent they are contradictory to the
provisions of this clause 9.
